1. Introduction
This Acceptable Use Policy (“AUP”) sets out the rules and standards for use of the Resourcly Platform. This AUP is legally binding on all users of Resourcly products, services, or features, and is incorporated by reference into the Terms of Service (“ToS”). In the event of any conflict between this AUP and the ToS, the ToS shall prevail. Capitalized terms not defined herein have the meaning given in the ToS.
2. Prohibited Uses
You may use the Resourcly Platform only for lawful purposes and in accordance with this AUP and the ToS. Without limiting the generality of the foregoing, You must not:
- use the Resourcly Platform in violation of any applicable local, national, or international law or regulation;
- use the Resourcly Platform in any way that is unlawful, fraudulent, or misleading;
- harm or attempt to harm minors in any way;
- upload, share, or transmit any data or material that contains viruses, spyware, adware, Trojan horses, worms, corrupt files, or other malicious code intended to adversely affect the operation of the Resourcly Platform or any computer software, hardware, or networks;
- circumvent, disable, or otherwise compromise the security of the Resourcly Platform, any user account, or any password;
- upload, send, or distribute unsolicited messaging, including emails or notifications;
- use the Resourcly Platform or any AI-generated outputs for purposes of market manipulation, price fixing, or other anti-competitive conduct; or
- input data into the Resourcly Platform that You do not have the right to use or that infringes the intellectual property or confidentiality rights of any third party.
3. AI Functionality Restrictions
If You use any AI Functionality within the Resourcly Platform, You must not:
- use AI-generated outputs as the sole basis for decisions with significant legal, financial, or safety implications without human review and verification;
- attempt to extract, reverse engineer, or replicate the underlying AI models or algorithms;
- use AI Functionality to generate content that is misleading, defamatory, or harmful; or
- input prompts designed to circumvent safety measures or produce prohibited content.
You acknowledge that AI-generated outputs may contain errors and are provided for informational purposes only.
4. Intellectual Property Rights and Content Standards
Any User Data (as defined in the ToS) that You upload to the Resourcly Platform must be Your own original work or You must have all necessary licenses, rights, consents, and permissions to use such User Data.
You must only upload User Data for which You have all necessary rights and which does not infringe the intellectual property or other rights of any third party.
User Data must not be obscene, offensive, defamatory, discriminatory, or otherwise unlawful.
You must not impersonate any individual or misrepresent Your identity or affiliation.
You must not breach any legal duty owed to a third party, such as a contractual duty or a duty of confidence.
User Data must not:
- contain any material which is obscene, offensive, hurtful, inflammatory, or defamatory;
- promote violence or any form of bullying or harassment;
- promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
- impersonate any individual or give the impression that information emanates from Resourcly (if that is not the case); or
- be shared in breach of any legal duty owed to a third party.
5. Enforcement
Resourcly reserves the right, in its sole discretion, to determine whether You have violated this AUP and to take any action it deems appropriate, including but not limited to:
- immediate suspension of Your right to access and use the Resourcly Platform;
- immediate removal of any User Data uploaded by You to the Resourcly Platform;
- taking legal action against You or the entity You represent; or
- disclosure of relevant information to law enforcement authorities.

This AUP is intended to supplement, not duplicate, the obligations set forth in the Resourcly Terms of Service. Users are required to comply with both this AUP and the Terms of Service. In case of any inconsistency, the Terms of Service shall prevail.
